Spectee Content Agreement (SCA)

Spectee Inc. ("Spectee") aggregates newsworthy content and gets permission from owner(s) to use it in various media, such as broadcasters, publishers and internet media. Spectee distributes the permitted content to those media through various platforms and channels.
 
This agreement gives Spectee and its partners permission to broadcast or republish your content. This means they can use your Content in whole or in part in TV packages, in online or offline publishers and/or on other media channels.
 
Spectee always asks that partners credit any source when they use the content we make available to them.
 
By accepting the SCA and in consideration of our distributing your content, you are agreeing to the following:
 
You affirm, represent, and warrant that you are the owner of the Content, or that you have the necessary licenses, rights, consents, and permissions to grant Spectee a license to the Content. You also affirm, represent, and warrant that the Content does not vest in some third party
 
Aside from the licenses granted herein, you retain all ownership rights to your Content.
 
You hereby grant Spectee and its partners a worldwide, non-exclusive, royalty-free, perpetual, sub-licensable and transferable license to use, reproduce, distribute, edit, prepare derivative works of, display, and perform the Content in any media format and through any media channels.
 
You acknowledge and agree that Spectee's partners may apply automated AI and/or computer vision ("CV") processing to your Content for the following purposes only:
(a) generating textual descriptions of your Content suitable for vectorization and natural language search;
(b) generating structured metadata ("Derived Metadata") from your Content, including but not limited to: dominant colors, scene descriptions, object and animal detection, atmosphere, and non-identifying human attribute data such as estimated number of persons, posture, and general emotional tone; and
(c) improving the discoverability and distribution of your Content within partners' systems and to their clients.
 
Spectee warrants that its partners shall NOT, in connection with AI Processing of your Content:
(a) generate, store, or use data that identifies or enables the identification of any individual depicted in your Content (including facial recognition identifiers, biometric templates, or persistent individual IDs);
(b) use your Content or any AI Processing output for the training of general-purpose AI or machine learning models; or
(c) link or associate Derived Metadata with any identified or identifiable natural person.
 
Spectee warrants that any partner conducting AI Processing of your Content shall:
(a) act as the sole data controller in respect of any personal data processed through AI Processing, and Spectee shall not be deemed a joint controller in respect of such processing;
(b) comply with all applicable data protection laws and regulations, including the EU General Data Protection Regulation (GDPR) and the Act on the Protection of Personal Information of Japan, where applicable; and
(c) conduct a Data Protection Impact Assessment (DPIA) in accordance with Article 35 of the GDPR prior to commencing AI Processing, where required.
 
Nothing in this SCA, and no AI Processing conducted by Spectee's partners, shall be construed to limit, transfer, or otherwise affect your rights or the rights of any third party who has licensed rights in the Content to you (together, "Content Rights Holders") in the Content. All rights, title, and interest in and to the Content shall remain with the Content Rights Holders. Derived Metadata generated from your Content may only be used within the scope of this SCA and Spectee's partner agreements.
 
You agree to the terms of our Privacy Policy. In particular, you agree that when we distribute your video to our partners, we may disclose your personal information to such partners in order for them to independently verify your video.
 
SCA is governed by and construed in accordance with the laws of Japan without regard to the principles of the conflict of laws thereof. Any and all disputes arising out of or in connection with SCA shall submit to the exclusive agreed jurisdiction of the Tokyo District Court at the first instance.
